Please read these Terms carefully. They form a binding agreement between you and us. The short version: our software helps you build, test and run your own trading rules. We do not give advice, we do not hold your money, and you are responsible for your trading decisions and their results.
1. Who we are and what these Terms cover
1.1 Who we are. The Services are provided by [FULL LEGAL NAME], an individual trading under the name Kalibre Markets, of [POSTAL ADDRESS], [COUNTRY OF RESIDENCE] ("Kalibre Markets", "we", "us", "our"). Kalibre Markets is a trading name, not a separately incorporated company. If we later transfer the Services to a company, we will tell you in advance as described in these Terms. You can contact us at [CONTACT EMAIL].
1.2 What the Services are. "Services" means everything we offer under these Terms, including:
- the website at kalibremarkets.com and its pages, tools and educational content (the "Site");
- Kalibre Lab, our browser-based workspace for charting, technical analysis, building strategies, backtesting and optimisation;
- Kalibre Bridge, a MetaTrader 5 add-on that reads market and account data from your own MetaTrader 5 terminal and sends it, encrypted, to Kalibre Lab in your browser;
- Kalibre Engine, a MetaTrader 5 Expert Advisor that runs the rule file you build and places orders on your MetaTrader 5 account according to those rules, with an optional risk shield;
- your Kalibre Markets account; and
- any other product we add later and make available under these Terms.
1.3 Additional terms. Some products or features may come with extra terms shown to you before you use them ("Product Terms"). Product Terms form part of these Terms. If they conflict with these Terms, the Product Terms apply to that product.
1.4 Other documents. These documents also apply and form part of our agreement with you:
- the Risk Disclosure;
- the Refund and Cancellation Policy;
- the Privacy Policy and Cookie Notice, which explain how we handle personal data (they are notices, not contract terms you have to agree to).
1.5 Accepting these Terms. You accept these Terms by creating an account, by ticking the acceptance box at checkout, or by using the Services. If you do not agree, please do not use the Services.
2. Who can use the Services
2.1 You must be at least 18 years old and legally able to enter into a binding contract.
2.2 If you use the Services for a company or other organisation, you confirm that you have authority to bind it to these Terms, and "you" includes that organisation.
2.3 Sanctions. You may not use the Services if you are (a) named on, or owned or controlled by someone named on, a sanctions list maintained by the United Nations, the European Union, the United Kingdom, the United States (including the list of the U.S. Treasury Office of Foreign Assets Control) or [COUNTRY OF RESIDENCE], or (b) located in, or ordinarily resident in, a country or territory subject to comprehensive sanctions under any of those regimes. If this changes after you sign up, you must stop using the Services and tell us.
2.4 Your local law. Some countries restrict or license automated trading software, leveraged products such as forex and CFDs, or the use of trading tools. You are responsible for checking that your use of the Services is lawful where you live and where you trade. Nothing on the Site is an offer of the Services in a place where offering them would be unlawful.
2.5 Restricting regions. We may refuse, limit or end access from particular countries where the law, our payment provider or sanctions rules require it. If we do this to an existing paid subscriber for a reason other than a breach of these Terms, we will refund any prepaid fees for the unused part of the period.
3. Your Kalibre Markets account
3.1 Signing in. You can sign in with a one-time link or code sent to your email address, or with your Google account. We do not ask you to create a password with us. Large parts of Kalibre Lab work without an account; you need an account to buy a subscription, to manage your licence and to sync saved items between devices.
3.2 One account, several products. One Kalibre Markets account can hold licences for more than one product.
3.3 Keeping access secure. Keep access to your email account and Google account secure, because anyone who controls them can sign in to your Kalibre Markets account. Tell us promptly at [CONTACT EMAIL] if you think someone else has used your account. You are responsible for activity on your account unless it was caused by our failure to take reasonable security measures.
3.4 Accurate information. Keep the email address on your account current. We send important notices there.
3.5 Deleting your account. You can delete your account at any time from the account page. Deleting your account sets any paid subscription to end at the close of the current period, so you will not be charged again. Your licence keeps working in MetaTrader 5 until that period ends. Some records are kept after deletion as described in the Privacy Policy.
4. What the Services are, and what they are not
4.1 Software, not advice. The Services are software tools and general educational content. They help you build and test rules you choose, and, if you use Kalibre Engine, carry out those rules on an account you control. Nothing in the Services is investment, financial, legal or tax advice, a personal recommendation, a trading signal, or an offer or solicitation to buy or sell any financial instrument. Example strategies, templates and educational material are starting points for your own research, not recommendations. Content is not tailored to your circumstances, objectives or risk tolerance.
4.2 Not a broker, adviser or manager. Kalibre Markets is not a broker, dealer, investment adviser, commodity trading adviser, portfolio manager or signal provider, and is not authorised by any financial regulator to provide investment services. We do not manage accounts, run copy trading or pool funds.
4.3 No custody. We never hold, receive or control your money, securities or crypto assets. We do not open accounts in your name. Your funds stay with the broker you chose.
4.4 No orders from our servers. Our servers never place, change or cancel orders. Orders are only ever sent by Kalibre Engine, running in your own MetaTrader 5 terminal, according to the rule file you load and the settings you choose.
4.5 Your decisions. You alone decide whether to trade, what to trade, how much to trade and which rules to run. You are responsible for those decisions and for all results, including losses. Please read the Risk Disclosure before you trade.
5. Kalibre Lab
5.1 Kalibre Lab runs in your browser. Unless you are signed in and choose to save an item, your strategies, drafts, journal entries and settings are stored only in your browser on your device. If you clear your browser data, unsynced items are lost; keeping backups is your responsibility.
5.2 Market data. Kalibre Lab does not publish live or delayed exchange data. Prices you see come from data you load, from your own broker (through Kalibre Bridge or a broker connection you set up), from synthetic data marked as synthetic, or from public data captured once on a stated date. We do not guarantee that any data is accurate, complete or up to date.
5.3 Backtests and optimisation are hypothetical. Results in Kalibre Lab are simulations based on past or synthetic data and on simplifying assumptions. The quick test, for example, does not include spread, commission, swap or slippage, and it assumes the order of prices inside each candle. The Methodology page explains how results are calculated. Results can differ materially from what you would get in a real account. See the Risk Disclosure.
6. Kalibre Bridge
6.1 Read-only. Kalibre Bridge reads the price history of symbols you select, your open positions and a summary of your account from your MetaTrader 5 terminal, encrypts that data on your computer and sends it to Kalibre Lab in your browser. It does not place, change or close orders, and it does not change your account settings.
6.2 No passwords. Kalibre Bridge never asks for, reads or sends your MetaTrader 5 password or your broker login password.
6.3 End-to-end encryption. Data is encrypted on your computer with keys derived from a pairing code that Kalibre Lab creates in your browser. We never receive the pairing code, so we cannot read the data and cannot recover a lost code. Our relay only passes the encrypted packets along and deletes each one automatically within two hours.
6.4 Pairing code. Keep your pairing code private. If you think someone else has it, create a new code in Kalibre Lab and enter it in the add-on.
6.5 Licence check. Like Kalibre Engine, Kalibre Bridge checks your licence with our server when it starts and about every six hours. That check sends your licence key and your MetaTrader 5 account number. See the Privacy Policy.
6.6 Not a monitoring system. Kalibre Bridge depends on your terminal being open, your internet connection, your broker's servers and our relay. It may miss or delay data. Do not rely on it to monitor open positions; use your broker's platform for that.
7. Kalibre Engine
7.1 What it does. Kalibre Engine runs the rule file you build and, following only those rules and your settings, opens, manages and closes positions on the MetaTrader 5 account where you attach it. It does not choose strategies, generate its own signals or change your rules.
7.2 Test first. Before using Kalibre Engine on an account that trades real money (a "live account"), test the same rule file in the MetaTrader 5 Strategy Tester and on a demo account.
7.3 Live-account safeguards. On a live account, Kalibre Engine will not open new positions unless (a) you have ticked the setting confirming that you accept the risk of using it on a live account, and (b) a loss limit is set, either the risk shield or a daily loss limit in your rule file.
7.4 The risk shield is not a guarantee. The risk shield and loss limits are designed to stop new trading when limits are reached. They can be exceeded because of price gaps, slippage, delays, lost connections, terminal shutdowns or your broker's or prop firm's own rules. Meeting a prop firm's rules is your responsibility.
7.5 When a subscription ends. If your subscription ends or your licence is suspended, Kalibre Engine stops opening new positions on live accounts. It continues to apply the stop, target and exit rules of positions that are already open while it remains attached. You remain responsible for checking and, if needed, closing your open positions.
7.6 Your results. All trades placed by Kalibre Engine on your account are your trades. You are responsible for their results.
8. Broker and third-party connections
8.1 If you connect Kalibre Lab or the add-ons to a broker, prop firm, data provider or other third party, that connection is between you and that third party and is governed by its terms, fees and data licences. We are not its agent or partner, and we are not responsible for its services, outages, account decisions or insolvency.
8.2 Price data you receive from your broker is for your own use. Do not redistribute, publish or sell it unless your broker's terms allow it.
8.3 Keys and codes. Keep your licence key, pairing code, broker API keys and access tokens private. Do not put them in screenshots, feedback, forums or public code. Where your broker allows it, create keys with only the permissions needed and without withdrawal rights. If a key may have leaked, revoke it with your broker straight away and, for a licence key, tell us. Unless we caused the leak, we are not responsible for use of a key before you tell us.
8.4 MetaTrader is a trademark of MetaQuotes Ltd. Kalibre Markets is not affiliated with or endorsed by MetaQuotes Ltd.
9. Beta features
Features labelled beta, preview or experimental may change, be withdrawn or behave unexpectedly, and calculations may be wrong. We provide them as they are and may stop them at any time. Free beta licences are personal, cover only the products they name, last for the period stated and do not turn into paid subscriptions automatically. If you send us feedback, we may use it to improve the Services without owing you anything; do not include keys, codes or passwords in feedback.
10. Subscriptions and payment
10.1 Plans and prices. Paid plans are billed monthly in advance. The price is shown on the pricing page and at checkout (the planned launch price is USD 19 or EUR 17 per month, depending on your region). Prices include or show applicable taxes as stated at checkout.
10.2 Payment. Payments are processed by Stripe. Your card details go directly to Stripe and do not reach us.
10.3 Automatic renewal. Your subscription renews automatically at the end of each monthly period, and we charge the payment method on file, until you cancel.
10.4 Cancelling. You can cancel at any time from your account page or the Stripe billing page linked from it. Cancellation takes effect at the end of the current period. You keep access until then, and you will not be charged again.
10.5 Licence and accounts. After payment your account shows a licence key. A licence can be used on up to two MetaTrader 5 accounts; it is bound to the first two accounts on which it is used. To change those accounts, contact us.
10.6 Failed payments. If a renewal payment fails, Stripe retries it over several days. Your licence keeps working for up to three days after the paid period ends while payment is retried. If payment still fails, the subscription ends.
10.7 Price changes. We may change prices. For existing subscribers a new price applies only from the first renewal at least 30 days after we email you about it. If you do not want to pay the new price, cancel before that renewal.
10.8 Free periods, promotion codes and tester codes. The length, scope and end-of-offer price of any free period or promotion code are shown with the offer. Codes are personal, have no cash value, cannot be combined unless we say so, and expire on the stated date. We may cancel codes that are misused. Codes with a 100% discount given to invited testers last at most three months and may cover only the products named with the code (for example, Kalibre Bridge only); while the code is active your licence covers only those products. When the code expires, your subscription continues at the normal price and covers the full product unless you cancel first. A card is not needed while a 100% code applies; we will ask for one, and email you, before the first paid charge.
10.9 Refunds. Refunds are covered by the Refund and Cancellation Policy.
10.10 Chargebacks. If you think a charge is wrong, please contact us first; we can usually fix it faster than a bank dispute. If a payment is disputed, we may suspend the licence linked to that payment until the dispute is resolved. This does not affect your rights with your bank or card issuer.
10.11 Taxes on your trading. You are responsible for any taxes on gains or losses from your trading.
11. Right of withdrawal (EU, EEA and UK consumers)
If you are a consumer in the EU, EEA or UK, you have a legal right to withdraw from a new subscription within 14 days without giving a reason. Because the Services are digital content and services that start straight away, at checkout we ask you to request immediate access and to confirm that you lose the right of withdrawal once the licence is activated. Payment is not possible without that confirmation. How this works in practice, including what happens if you have not activated your licence, is set out in the Refund and Cancellation Policy. This section does not take away any right you have by law.
12. Licence to use our software
12.1 While you comply with these Terms and, for paid features, have an active subscription, we give you a personal, non-exclusive, non-transferable, revocable licence to use the Services for your own trading and research.
12.2 The software, Site content, design, example strategies and templates, and the Kalibre names and logos belong to us or our licensors. These Terms do not transfer ownership of any of them to you. You may change and run our example strategies for your own use, but you may not republish them commercially.
12.3 Add-on files are compiled for licensing and may only be downloaded with an active licence. Do not remove licence checks or copy-protection.
13. Your strategies and content
13.1 The strategies, rule files, parameters, watchlists and notes you create ("Your Content") belong to you. We claim no ownership of them.
13.2 If you save Your Content to your account, you give us a non-exclusive, worldwide, royalty-free permission to store, copy, process and display it to you only as needed to provide the Services to you. This permission ends when you delete the item or your account, except for copies kept for a short time in backups.
13.3 We do not show Your Content to other users, sell it, or use it in our own examples or marketing without your express consent. If we later offer a sharing feature, the terms for sharing will be shown before you use it.
13.4 You confirm you have the right to use anything you upload or import, and that it does not break the law or anyone else's rights.
14. Acceptable use
You agree not to:
- copy, scrape or bulk-download the Site or Services with automated tools, or overload or disrupt them;
- probe, bypass or disable security, rate limits, licence checks or bot protection;
- reverse engineer, decompile or modify the software or add-ons, except where the law allows this despite this restriction;
- use our relay or servers for anything other than the Services, for example as general storage or messaging;
- share, rent, sell or publish your licence key, pairing code or access to paid features, or run a licence on accounts that are not yours;
- use the Services, or results you produce with them, to provide investment advice, trading signals, copy trading, account management or portfolio management to others without the authorisations the law requires, or use the Kalibre name to promote such a service;
- present backtest or simulated results as if they were real trading results, or publish them without saying they are hypothetical;
- use the Services to manipulate markets, breach your broker's or prop firm's rules, or for any unlawful purpose; or
- infringe anyone's intellectual property, privacy or other rights.
15. AI assistant
Where we offer an assistant on the Site, its replies are generated automatically by a third-party AI service. They may be wrong or out of date and are not advice. Do not enter personal details, account numbers, keys or passwords. The Privacy Policy explains which provider receives your messages.
16. Changes to the Services and to these Terms
16.1 Services. We improve the Services over time and may add, change or remove features. If we remove a paid feature that is a main reason for your subscription, or stop a paid product entirely, we will give reasonable notice where we can, and you may cancel and receive a pro-rata refund of prepaid fees for the unused period.
16.2 These Terms. We may update these Terms, for example to reflect new products, legal changes or how the Services work. We will post the new version with its effective date. For material changes we will email account holders at least 30 days before the change applies to them, unless a shorter period is needed for legal or security reasons. If you do not agree, you may cancel before the change takes effect. If you keep using the Services after that date, the new Terms apply.
17. Suspension and termination
17.1 By you. You may stop using the Services, cancel your subscription or delete your account at any time.
17.2 By us, for cause. We may suspend or end your access, account or licence, with notice where practical, if you seriously or repeatedly breach these Terms, if your use creates a security, legal, fraud or sanctions risk, if a payment is disputed or fails, or if the law or a regulator requires it. Where a breach can be fixed, we will usually give you a reasonable chance to fix it first. If we end your subscription for a serious breach, prepaid fees are not refunded, unless the law requires otherwise.
17.3 By us, without cause. We may also end your subscription for any other reason by giving you at least 30 days' notice. In that case we refund prepaid fees for the unused period.
17.4 Effect. When your licence ends, the add-ons stop paid functions as described in section 7.5. Sections that by their nature should continue (including 4, 12, 13, 19 to 23 and 24) survive termination.
18. Your statutory rights
If you are a consumer, you have legal rights in relation to digital content and services that are not as described, faulty or not supplied with reasonable care and skill. Nothing in these Terms affects those rights. Where these Terms say something applies "to the extent the law allows", that means it does not apply where a law that protects you says otherwise.
19. Disclaimers
19.1 The Services are provided "as is" and "as available". To the extent the law allows, we make no promise that they will be uninterrupted, error-free or secure, that calculations or data will be accurate or complete, or that they will meet your needs or produce any trading result, and we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement.
19.2 We are not responsible for third-party services we do not control, including MetaTrader 5, your broker or prop firm, internet providers, Stripe, Google and our hosting and storage providers.
20. Limitation of liability
20.1 What we do not exclude. Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for loss caused by our intentional misconduct or gross negligence, or for any other liability that the law does not allow us to limit or exclude.
20.2 Trading losses. To the extent the law allows, we are not liable for trading or investment losses, lost profits or missed opportunities resulting from your trading decisions, your rule files, the operation of Kalibre Engine according to your rules and settings, market conditions, slippage or gaps, or the acts of your broker, prop firm or other third parties.
20.3 Indirect loss. To the extent the law allows, we are not liable for indirect or consequential loss, loss of data you did not back up, or loss of business, revenue or goodwill.
20.4 Cap. To the extent the law allows, our total liability to you for all claims arising out of or relating to the Services or these Terms in any 12-month period is limited to the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim and (b) USD 100.
20.5 Consumers in the EU, EEA and UK. If you are a consumer in these regions, we are liable for foreseeable loss caused by our breach of these Terms or our failure to use reasonable care and skill, and sections 20.2 to 20.4 apply only as far as the law of your country allows.
21. Indemnity
To the extent the law allows, you will cover our reasonable losses and costs (including reasonable legal fees) from claims brought against us by third parties that arise from your breach of these Terms, your breach of your broker's or a data provider's terms, your unlawful use of the Services, or Your Content infringing someone's rights. This does not apply to the extent the claim was caused by our own breach or negligence. We will tell you about such a claim promptly and let you take part in the defence. If you are a consumer, this section applies only where the law of your country allows it.
22. Events outside our control
We are not responsible for delay or failure caused by events beyond our reasonable control, such as natural disasters, epidemics, war, terrorism, civil unrest, strikes, government action, widespread power or internet failures, failures of hosting, storage, payment or broker services, or cyber attacks we could not reasonably prevent. Our obligations are paused while the event continues. If it lasts more than 30 days, you may cancel and receive a pro-rata refund of prepaid fees for the unused period.
23. Governing law and disputes
23.1 Talk to us first. If you have a complaint, please email [CONTACT EMAIL]. We aim to reply within 14 days and to resolve most issues informally.
23.2 Governing law. These Terms and any dispute about them or the Services are governed by the laws of [COUNTRY OF RESIDENCE], without regard to its conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
23.3 Courts. The courts of [CITY, COUNTRY] have jurisdiction.
23.4 Consumers. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring proceedings in the courts of that country. EU consumers may also use the out-of-court dispute bodies available in their country.
24. General
24.1 Entire agreement. These Terms, together with any Product Terms, the Risk Disclosure and the Refund and Cancellation Policy, are the whole agreement between you and us about the Services.
24.2 Language. These Terms are written in English. If we provide a translation, it is for convenience, and the English version governs if they differ, unless the law of your country requires otherwise.
24.3 Transfer. You may not transfer your account, licence or rights under these Terms without our written consent. We may transfer our rights and obligations to another organisation, for example if our business is sold, as long as this does not reduce your rights. We will tell you if this happens.
24.4 Severability. If a court finds part of these Terms unenforceable, the rest stays in effect and the affected part is applied as closely as possible to its original purpose.
24.5 No waiver. If we do not enforce a right straight away, we can still enforce it later.
24.6 No third-party rights. No one other than you and us has a right to enforce these Terms.
24.7 Notices. We send notices to the email address on your account or show them in the Services. An email notice counts as received when sent, unless we receive a delivery failure. Formal notices to us must be sent to [CONTACT EMAIL] and, for legal claims, also to [POSTAL ADDRESS].
24.8 Electronic communications. You agree to receive contracts, receipts and notices electronically. Service emails about your account, licence, payments, security and changes to these Terms are part of the Services. Product update emails and how to opt out of them are described in the Privacy Policy.
